Terms of Service

1. Acceptance of Terms
By accessing or using Sovereign ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and Sovereign ("we," "us," or "our"). By creating an account, downloading our application, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms along with our Privacy Policy.
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
2. Description of Service
Sovereign is a privacy-first AI personal assistant that runs primarily on your device. The Service provides:
- On-device AI processing for notes, tasks, and personal knowledge management
- Zero-knowledge encrypted cloud sync for backup and cross-device access
- A personal knowledge graph built entirely from your data, stored locally
- Optional cloud features that operate under strict zero-knowledge encryption
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of any material changes.
3. User Accounts
To access certain features of the Service, you may be required to create an account. When you create an account, you agree to:
- Provide accurate and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials and encryption keys
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
Due to our zero-knowledge encryption architecture, we cannot recover your encryption keys or access your encrypted data. You are solely responsible for maintaining your encryption keys and recovery phrases. Loss of these credentials may result in permanent loss of access to your encrypted data.
4. Privacy & Data
Your privacy is fundamental to Sovereign. Our approach to data is governed by the following principles:
- On-device processing: AI processing happens on your device. Your personal data does not leave your device unless you explicitly opt into cloud sync.
- Zero-knowledge encryption: Any data synced to our servers is encrypted with keys that only you hold. We cannot read, access, or decrypt your data.
- No data harvesting: We do not sell, share, or monetize your personal data in any form.
- Minimal collection: We collect only the minimum data necessary to operate the Service, as detailed in our Privacy Policy.

5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Distribute malware, viruses, or other harmful code
- Attempt to reverse engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service or its related systems
- Use the Service for any illegal, harmful, or abusive purpose
We reserve the right to suspend or terminate your access to the Service if we reasonably believe you are violating these Terms.
5a. Safe-Use Guidance
Sovereign is built so your data stays yours. That puts a few responsibilities on you. The same guidance is reproduced inside the app under Settings → Guide.
Lock the app on your device
Turn on Face ID or Touch ID in iOS Settings. Sovereign respects the device passcode and will require it before unlocking your data after each app launch. Set a strong device passcode — at least six digits, ideally alphanumeric. Your encryption keys are tied to your passcode; if it is weak, the on-device encryption protects you less than it should.
Save your recovery phrase
If you turn on encrypted cloud sync, Sovereign generates a recovery phrase for you. Write it down on paper, store it somewhere safe, and never share it with anyone. We physically cannot recover it for you. Without the recovery phrase, a lost device means losing access to any synced data on that device.
AI is a companion, not an authority
The on-device AI in Sovereign — including the Daily Chat, the persona reflections, and the Growth coach — is a sounding board, not a professional. It is not a therapist, not a doctor, not a lawyer, and not a financial adviser. Treat anything the AI suggests the way you would treat advice from a thoughtful friend: useful as a starting point, never a substitute for an actual specialist.
Mental health and emergencies
Sovereign's journaling tools can support reflection but are not a crisis service. If you are in immediate danger, contact your local emergency services. For mental-health support, reach a qualified clinician or a crisis line in your country (US: 988, UK: 116 123, EU: 112). The AI may decline to engage with crisis content and redirect you to professional help. That is by design.
Be careful what you share
Screenshots of journal entries, notes, or coach chats lose all of the privacy guarantees of the app the moment they leave the device. Think before you share. If you export an encrypted backup, treat the backup file like a house key — anyone who has the file and your passphrase can restore your full vault.
Verify before acting
AI summarisation, OCR, and entity extraction can all make mistakes. Verify dates, names, contact details, dosages, and anything else that matters before you act on it.
Reporting bugs and safety concerns
If you find a bug, a privacy issue, or AI behaviour that worries you, email hello@kodefoundry.com. Security reports are taken seriously and acknowledged within 72 hours.
6. Intellectual Property
Our IP: The Service, including its design, code, features, documentation, and branding, is owned by Sovereign and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our proprietary materials without prior written consent.
Your data: You retain full ownership of all data, content, and materials you create or store using the Service. We claim no ownership rights over your content. Because your data is encrypted with your keys, we technically cannot access it.
Open source: Certain components of the Service may be released under open-source licenses. Those components are governed by their respective licenses.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated suggestions and outputs may be inaccurate and should not be relied upon as the sole basis for important decisions.
You acknowledge that on-device AI processing is dependent on your device's hardware capabilities and that performance may vary across devices.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOVEREIGN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Due to the zero-knowledge architecture of the Service, we are unable to recover lost encryption keys or data encrypted with lost keys. We shall not be liable for any data loss resulting from lost encryption keys or recovery phrases.
9. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you via the Service or by email at least 30 days before changes take effect
- Provide a summary of the material changes
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sovereign operates, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.
